Gross Event Revenue may include approved athlete registrations, sponsorships, tickets, vendor fees, and other event-related income.

Net Event Revenue means Gross Event Revenue after approved direct event expenses have been paid.

The Territory Licensee receives 20% to 40% of Net Event Revenue, and TrackFIT TV retains the remaining share. TrackFIT TV’s share supports the technology platform, ongoing software development, cloud infrastructure, system maintenance, uptime, equipment, technical support, reporting, rankings, staffing, event production, operating systems, and financial responsibility for approved event costs. Final terms are stated in the Territory License Agreement.

Territory Reservation Terms

Review these terms before completing and signing the application.

1. Territory Reservation Deposit

A $995 Territory Reservation Deposit is required with the application. The reservation does not enter formal review until TrackFIT TV receives both the completed application and the $995 deposit.

Payment does not purchase equipment, technology, guaranteed events, guaranteed income, exclusivity, or automatic territory rights.

2. Early Launch Territory License Offer

Applicants who submit a completed Territory Reservation Application and pay the $995 Territory Reservation Deposit on or before September 27, 2026 qualify for the TrackFIT Early Launch Territory License offer.

If the applicant is approved for a territory and accepts the territory award, the $995 deposit satisfies the entire first-year Territory License fee. No additional first-year Territory License balance is due under the Early Launch offer.

The regular first-year Territory License fee is $2,995. Accordingly, an approved Early Launch Licensee receives a $2,000 first-year discount.

3. Standard License Pricing After Early Launch

Beginning September 28, 2026, the standard first-year Territory License fee is $2,995.

Applicants will continue to submit a $995 Territory Reservation Deposit with the application.

If TrackFIT TV approves the territory and the applicant accepts the award, the $995 deposit is credited toward the $2,995 first-year Territory License fee and the remaining $2,000 balance becomes due.

The remaining balance is not due before TrackFIT TV approves the territory and the applicant accepts the territory award.

4. Territory Review and Approval

TrackFIT TV will review the requested territory, applicant qualifications, athlete and coach relationships, potential event locations, local partnerships, market demand, and ability to develop recurring participation.

TrackFIT TV may request an interview, references, facility information, market-development plan, or other supporting information before making a decision.

5. Deposit Credit and Refund

If the applicant is awarded and accepts a territory, the $995 Territory Reservation Deposit is credited toward the applicant’s first-year Territory License.

For qualifying Early Launch applicants, that $995 credit satisfies the entire first-year Territory License fee.

For applications submitted beginning September 28, 2026, the $995 deposit is credited toward the standard $2,995 first-year Territory License fee, leaving a $2,000 balance due after approval and acceptance.

If TrackFIT TV does not award the applicant a territory, the $995 deposit will be refunded in full to the original payment method.

TrackFIT TV may offer a different or modified territory. The applicant may accept or decline that offer. If a materially different territory is declined and no territory is awarded, the $995 deposit will be refunded in full.

6. Green Belt Certification

The first-year Territory License includes one TrackFIT Green Belt Coach Certification for the individual Licensee or one designated representative of the licensed organization.

Green Belt certification is an individual credential and is separate from the Territory License itself. A Green Belt certification does not grant a territory, exclusivity, event rights, Territory Licensee revenue participation, or authority to operate as a Territory Licensee.

The designated individual must complete the required onboarding, training, and certification requirements. Additional Green Belt certifications are purchased separately.

7. Technology, Staffing, and Event Expenses

TrackFIT TV provides and maintains the TrackFIT operating platform, including software development, cloud systems, equipment integration, data processing, reporting, rankings, system maintenance, availability, upgrades, and ongoing technical support.

For approved events, TrackFIT TV provides or arranges the necessary technology operators, measurement personnel, reporting support, data-processing personnel, and production staffing.

TrackFIT TV pays approved direct event expenses. A Territory Licensee may not independently incur expenses on behalf of TrackFIT TV or assume that an expense will be reimbursed without prior written approval.

8. Revenue Participation

The Territory Licensee is eligible to receive 20% to 40% of Net Event Revenue from approved events within the territory.

Net Event Revenue means Gross Event Revenue after approved direct event expenses have been paid.

TrackFIT TV’s retained share supports the technology platform, software development, infrastructure, equipment, maintenance, technical support, reports, rankings, event staffing, production systems, and financial responsibility for approved event expenses.

The final Territory License Agreement controls the specific revenue terms, payment timing, approved expenses, territory scope, and event requirements.

9. Local Territory Responsibilities

The Territory Licensee is expected to develop the local market by building relationships with athletes, coaches, schools, clubs, facilities, sponsors, and community partners.

Local responsibilities may include identifying suitable event locations, coordinating possible dates, recruiting athletes, developing partnerships, conducting community outreach, and leading local promotion.

TrackFIT TV may provide marketing assets, national promotion, registration resources, media support, and approved event-specific marketing assistance.

10. No Territory Rights Until Final Agreement

Submission of an application and payment of the Territory Reservation Deposit do not grant territory rights or authorize the applicant to represent, advertise, schedule, or produce an official TrackFIT TV event.

A territory becomes effective only after written approval, applicant acceptance, execution of the final Territory License Agreement, and confirmation of the license effective date by TrackFIT TV.

11. Applicant Certification and Electronic Acceptance

The applicant confirms that all application information is complete and accurate. The applicant authorizes TrackFIT TV to retain the application, acceptance checkbox, typed legal name, submission timestamp, payment record, and Territory Reservation Terms version as an electronic record.

If applying for a business entity, the individual signing the application confirms that they are authorized to submit the application and bind the entity to these Territory Reservation Terms.
